Terms of Service

By accessing or using the VexNode platform, APIs, or any associated services (collectively, the “Service”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

If you do not agree to these terms, you may not access or use the Service.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials, including API keys, and for all activity that occurs under your account. You agree to notify VexNode immediately of any unauthorized access.

You must provide accurate, current, and complete information during registration and keep your account information up to date.

You agree not to use the Service to:

• Engage in any illegal activity or violate applicable laws and regulations
• Run cryptocurrency mining workloads on compute instances
• Attempt to gain unauthorized access to other users' instances, data, or accounts
• Transmit malware, ransomware, or any code designed to disrupt or damage infrastructure
• Abuse, overload, or interfere with the stability and performance of the network
• Use the Service to train models on data you do not have the rights to use

VexNode reserves the right to suspend or terminate accounts that violate this policy without prior notice.

Compute usage is billed on a per-second basis at the rates published on our pricing page at the time of use. You will be invoiced monthly for all usage incurred during the billing period.

Payment is due within 15 days of invoice date. Late payments may incur a 1.5% monthly interest charge. VexNode reserves the right to suspend access to the Service for accounts with outstanding balances exceeding 30 days past due.

Enterprise customers with custom billing arrangements are governed by the terms of their individual service agreements.

VexNode commits to 99.9% platform uptime for customers on Pro and Enterprise tiers, measured on a monthly basis. This SLA covers the availability of the VexNode API and dashboard, not individual GPU provider uptime.

If we fail to meet this commitment, affected customers are eligible for service credits as outlined in our SLA documentation. Scheduled maintenance windows, announced at least 48 hours in advance, are excluded from uptime calculations.

You retain full ownership of all models, datasets, code, and outputs generated through your use of the Service. VexNode claims no intellectual property rights over your content.

VexNode retains ownership of the platform, APIs, documentation, and all associated trademarks and branding. You may not reproduce, modify, or distribute any part of the VexNode platform without prior written consent.

To the maximum extent permitted by law, VexNode shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

VexNode's total aggregate liability for any claims arising from the Service shall not exceed the amount you paid to VexNode in the twelve months preceding the claim.

You may terminate your account at any time by contacting support or through your account settings. VexNode may terminate or suspend your account for violations of these terms, non-payment, or at our discretion with 30 days' notice.

Upon termination, your right to use the Service ceases immediately. Any outstanding balances remain due. We will make commercially reasonable efforts to allow you to export your data prior to account deletion.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. Any disputes arising under these terms shall be resolved in the state or federal courts located in Wyoming.
